4. Project Engagement and Deliverables

4.1 Project Scope

Each project will be governed by a separate project proposal or agreement that outlines the scope of work, deliverables, timeline, and costs. Any changes to the project scope may result in adjustments to the timeline and fees.

4.2 Client Responsibilities

To ensure timely delivery, clients are responsible for:

  • Providing all necessary content, materials, and feedback in a timely manner
  • Reviewing and approving deliverables within the agreed timeframe
  • Ensuring that all materials provided do not infringe on any third-party rights

4.3 Approval and Acceptance

Deliverables will be considered accepted if no written objection is received within 7 business days of delivery. Revisions beyond the scope outlined in the project agreement may incur additional charges.

5. Payment Terms

  • Fees for services are outlined in the relevant project proposal or service plan
  • Recurring services (hosting, email, maintenance) are billed monthly unless otherwise agreed
  • Project-based work may require an upfront deposit before work begins
  • All invoices are due within 14 days of issuance unless otherwise specified
  • Late payments may incur a fee of 1.5% per month on the outstanding balance
  • We reserve the right to suspend services for accounts with overdue payments

6. Intellectual Property

6.1 Client Materials

You retain ownership of all content, logos, trademarks, and materials you provide to us. By providing these materials, you grant us a limited license to use them solely for the purpose of delivering the agreed services.

6.2 Our Work

Upon full payment, ownership of the custom deliverables created specifically for your project will transfer to you. We retain the right to use general techniques, knowledge, and non-proprietary components developed during the project. We may also showcase completed projects in our portfolio unless you request otherwise in writing.

6.3 Third-Party Components

Projects may include third-party software, plugins, or libraries that are subject to their own license terms. We will inform you of any such components and their applicable licenses.

7. Hosting and Email Services

  • Hosting and email services are provided on a subscription basis and are subject to our fair use policies
  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance windows will be communicated in advance when possible
  • You are responsible for maintaining backups of your own data
  • We reserve the right to suspend accounts that violate our acceptable use policies, including sending spam or hosting illegal content

8. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or any harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Host or distribute illegal, defamatory, or obscene content
  • Engage in any activity that could damage, disable, or impair our servers or networks

9. Limitation of Liability

To the maximum extent permitted by law, Bildirchin Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the event.

10. Warranties and Disclaimers

Our services are provided "as is" and "as available." While we strive to deliver high-quality work, we make no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or non-infringement of our services. We do not warrant that our services will be error-free or uninterrupted.

11. Termination

  • Either party may terminate recurring services with 30 days' written notice
  • We may terminate or suspend services immediately if you breach these terms
  • Upon termination, we will provide reasonable assistance in migrating your data and services, subject to payment of any outstanding fees
  • Termination does not relieve you of the obligation to pay for services already rendered

12. Indemnification

You agree to indemnify and hold harmless Bildirchin Group, its employees, and contractors from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the appropriate courts.
